Our offers are submitted at the current prices and possible delivery dates.
The prices quoted are valid with immediate confirmation, at the longest up to
three months from the date of issue. The contract is concluded by our written
order confirmation.
2. acceptance of order
The acceptance and execution of a written or verbal order shall be subject
to the following terms and conditions, unless otherwise agreed in writing in
our order confirmation. These shall be deemed to have been accepted at the
latest when the order is placed. Any terms and conditions of the customer that
conflict with our GTSD shall not be binding on us, even if they form the basis
of the order and we have not expressly objected to their content.
3. prices / Terms of payment
Unless otherwise agreed in writing, our prices shall remain non-binding, net ex works, excluding packaging, transportation and assembly at the place of installation. Unless otherwise agreed, payment must be made net within 30 days. Supplementary agreements shall be recorded in writing exclusively in the relevant order confirmations.
4. dispatch / delivery on call
The goods shall be shipped at the expense and risk of the customer (also in
the case of carriage paid delivery). If delivery on call has been agreed, the
goods must be called off no later than 2 months after the agreed readiness
date. After this period, we are entitled to demand full payment and to invoice
for further storage.
5. delivery periods / terms of delivery
The agreed delivery date shall be adhered to by us if at all possible, but
it shall not be binding if
events occur through no fault of our own which impair the orderly progress of the work (exceptional circumstances on the labor market, in the procurement of raw materials and any delays in delivery from subcontractors or in transport)
the information required for the execution of the order is not provided to us in good time or is subsequently changed
the terms of payment are not complied with.
A delay in delivery does not entitle the customer to withdraw from the order or to make claims for damages of any kind.
6. return shipments
Exchange and return shipments must be made within 10 days of the invoice date and can only be accepted after prior agreement, in original packaging and in perfect condition. The customer is liable for any damage to such goods. In the case of returns for which we are not responsible, the costs of inspection, cleaning and
re-storage will be charged. In such a case, the minimum compensation for expenses incurred shall be 10% of the value of the goods, but at least CHF 50 (subject to other written agreements).
7. complaints / acceptance of delivery
Upon delivery, the goods shall pass into the custody of the recipient. Upon receipt,
the recipient shall check the goods for completeness and any transport damage
and confirm correct receipt by signing the delivery bill.
8. warranty / liability
Warranty claims must be expressly asserted as such by the customer. Our guarantee extends - at our discretion - to the repair or replacement of parts which become demonstrably defective during the guarantee period as a result of faulty material, design faults or poor workmanship. The devices must be sent to us carriage paid. Replaced parts become the property of the supplier and must be returned on request. We accept no liability for installation costs, sales compensation, consequential damage of any kind or costs in connection with operational interruptions. The manufacturer's warranty conditions apply to commercial goods. Excluded from the guarantee are parts subject to natural wear and tear, damage resulting from inadequate maintenance, non-compliance with operating instructions, improper installation (unless installed by us) and force majeure. The guarantee shall lapse if the customer himself or third parties carry out modifications or repairs without our consent.
9. reservation of title / withdrawal from the contract
The goods shall remain our property until the delivery has been paid in full. If, after conclusion of a contract, justified doubts arise as to the creditworthiness of the buyer, we shall be entitled to demand immediate advance payment of the entire invoice amount and payment of outstanding claims - whether due or not. In such a case, we reserve the right to withdraw from the contract and to take back the delivered goods immediately.
If the customer withdraws from the order, we shall be entitled to charge all costs incurred by the order plus lost profit. In the event of default of payment, we shall be entitled without further ado to have the right of ownership formally registered and to inform the recipient of the goods in writing of the existing retention of title. In such a case, the buyer undertakes to notify the recipient of the goods.

The place of performance for delivery and payment is CH-9323 Steinach, the place of jurisdiction for both parties is CH-9323 Steinach. Swiss law shall apply.
